In view of the widespread COVID-19 second wave, an increasing number of cases and the sudden lockdowns, certain relaxations from compliances under Companies Act, 2013 have been provided by MCA vide General Circular dated May 03, 2021.

Extension of the due date

Any form to be submitted between April 01, 2021, and May 31, 2021, like Form MSME, LLP 11, FC-4, can now be submitted until July 31, 2021, without any additional fees. 
 
  • If the Form is filed up to May 31, 2021 - No additional fees.
  • If the Form filed after May 31, 2021 - Period between 01.04.2021 and 31.05.2021 shall not be counted to compute delay and the additional fee. 

Board Meetings

MCA has extended the interval period to 180 days for meetings required to be held during Q1 (April 21 to June 21) and Q2 (July 21 to September 21) under Section 173 of the Companies Act, 2013.
 
Comment - The relaxation offered by the MCA will provide an operational relief to the companies, especially in the conduct of board meetings for unlisted companies in this quarter. In respect of listed companies, board meetings for approving financial statements of the previous financial year must, however, be undertaken on or before June 30, 2021, as per SEBI.
